Part One: Applicant and Participant Terms and Release
1. Who We Are and What These Terms Cover
1.1 Agreement. These Applicant and Participant Terms and Release (the “Terms”) are a binding contract
between you and Basire Group, LLC, a California limited liability company doing business as The Benji
Show (“Company,” “we,” “us,” or “our”).
1.2 The Show. “Show” means the program known as The Benji Show (also presented as Benji’s Show)
and any successor title. It includes every episode, segment, clip, livestream, podcast, short-form video,
post, trailer, live event, and other content produced or published under that name, and all related
promotional material. The Show is produced primarily in Farsi.
1.3 The Site and your Application. “Site” means thebenjishow.com and its related pages and forms.
“Application” means everything you submit to be considered for the Show, at any time. That includes
your answers, photographs, audio and video recordings, social media links, and information you share in
follow-up calls or interviews.
1.4 Participation. These Terms apply from the moment you submit an Application. If you are selected,
they also govern your “Participation,” meaning pre-interviews, rehearsals, recording sessions,
livestreams, remote appearances, panel discussions, debates, conflict-resolution segments, and
promotional activities connected with the Show.
1.5 Privacy Policy. Our Applicant Privacy Policy in Part Two is part of these Terms.
2. Eligibility
2.1 Requirements. To apply, you must:
- be at least 18 years old and legally able to enter into a binding contract;
- apply only for yourself, using your real name and accurate information;
- not be bound by any agreement that would prevent you from appearing on the Show or
granting the rights in these Terms, such as an exclusive agreement with another program,
network, or platform; and
- meet the sanctions requirements in Section 2.3.
2.2 No minors. Anyone under 18 may not apply or participate. If we learn that an Application was
submitted by or for a minor, we will delete it. Do not bring anyone under 18 to a production location
unless we agree in advance and that person’s parent or legal guardian signs our separate release.
2.3 Sanctions compliance. We comply with U.S. economic sanctions laws, including the regulations
administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”). You
confirm that:
- you are not named on any U.S. government list of prohibited or restricted parties, including
OFAC’s Specially Designated Nationals and Blocked Persons List, and you are not owned or
controlled by, or acting for, any such party;
- you are not acting for the government of any country subject to comprehensive U.S. sanctions;
- you are not located in, or ordinarily resident in, a country or region subject to comprehensive
U.S. sanctions, unless we have confirmed in writing, after our own review, that your
Participation is permitted under U.S. law; and
- you do not have any form of financial and economic connection with Iran or any Iranian financial
institutions or individuals.
We may screen applicants against government lists. We may decline, pause, or end any Application or
Participation, or withhold any payment, when we believe it is necessary to comply with sanctions or
export control laws.
2.4 Verification. We may verify your identity, age, and eligibility at any time, including by asking for
identification or reviewing publicly available information about you. We may disqualify anyone who
does not meet these requirements or who gives us false information.
3. How You Accept These Terms
3.1 Electronic signature. You accept these Terms by checking the box on the application form and
clicking Submit. Doing so is your electronic signature. It has the same legal effect as signing a paper
contract under the California Uniform Electronic Transactions Act (Civil Code Section 1633.1 and
following) and the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. Section
7001 and following).
3.2 You understand these Terms. You confirm that you have read and understand these Terms. You had
the opportunity to ask us questions, to have the Terms translated, and to consult a lawyer before
agreeing.
3.3 Your copy. You may print or save these Terms at any time, and you may ask us for a copy of the
version you accepted. We keep a record of which version you accepted and when.
3.4 Additional documents. If you are selected, we may ask you to sign additional documents before you
participate, such as an appearance release or location rules. These Terms stay in effect whether or not
you sign them. If a document you sign later conflicts with these Terms, the later document controls on
the matters it covers.
3.5 Each participant agrees separately. Every person who participates in the Show, including any Other
Party described in Section 7, must accept these Terms or sign a release we provide. Your acceptance
binds only you.
4. Applying Is Free; Selection Is Not Guaranteed
4.1 No fee. It is free to apply. We will never ask you to pay to be considered for the Show or to appear
on it. If anyone asks you for money in our name, do not pay, and tell us at benjaminbasire@pm.me.
4.2 Our decisions. Submitting an Application does not guarantee that we will contact you, interview you,
select you, record you, or feature you. All casting, scheduling, and editorial decisions are made in our
sole discretion, and we are not required to explain them.
4.3 No obligation to air. Even if we record you, we are not required to publish or use any Recording
(defined in Section 8.1) of you. We may change the format of the Show, postpone or cancel any episode,
or stop producing the Show at any time, without liability to you.
5. Your Application Materials and Ideas
5.1 License to review. You keep ownership of the materials you submit. You grant us a worldwide,
royalty-free, non-exclusive license to copy, store, review, and share your Application with our team and
production partners to evaluate it, contact you, and prepare and produce the Show. If you are selected,
Sections 9 and 10 also apply to your Application materials, and we may use them in the Show and to
promote it.
5.2 Your right to submit. You confirm that you own, or have permission to submit, everything in your
Application, including any photos, videos, music, artwork, or images of other people. You also confirm
that our use of your Application as these Terms allow will not violate anyone’s rights.
5.3 Unsolicited ideas. We receive many stories and suggestions, and we develop our own ideas. If you
submit any idea, concept, format, title, story, or segment, in your Application or otherwise, you agree
that:
- it is not submitted in confidence, and no confidential or fiduciary relationship is created;
- we have no obligation to review, use, credit, or pay for it;
- we may already be developing, or may later independently develop or receive from others,
similar ideas; and
- you will not be entitled to compensation or credit because any of our content resembles your
submission.
No express or implied contract arises from your submission, except as these Terms state.
5.4 What not to send. Do not include government identification numbers, financial account numbers,
passwords, or medical records in your Application unless we specifically ask for them through a secure
method.
6. Use of Your Name, Email, and Contact Information
6.1 Your consent. By submitting an Application, you allow us to use your name, email address, phone
number, social media handles, city, and other contact details you provide (your “Contact Information”)
to:
- review and process your Application;
- contact you about your Application, casting, scheduling, and Participation, by email, phone, text
message, or messaging apps;
- consider you for current and future episodes, seasons, live events, and related programs;
- send you news, updates, newsletters, invitations, and promotional messages about the Show
and our other programs and events; and
- keep records of your Application and of your acceptance of these Terms.
6.2 Unsubscribing. You can stop newsletters and promotional emails at any time by clicking the
unsubscribe link in any such email or by contacting us. You will still receive messages about your
Application or Participation.
6.3 Text messages. We will text you only about your Application and Participation. We will not send you
marketing text messages unless you separately agree to receive them. Message and data rates may
apply.
6.4 No sale. We do not sell your Contact Information. Part Two explains how we share and protect it.
6.5 Public use of your name. If you participate in the Show, Section 9 governs how we may use your
name publicly.
7. Information About Other People
7.1 Other Parties. Many Applications involve another person, such as a family member, partner, former
partner, friend, neighbor, coworker, or business associate (an “Other Party”). If your Application
includes information about an Other Party, you confirm that it is true to the best of your knowledge and
shared in good faith to apply to the Show.
7.2 Contacting Other Parties. You authorize us to contact any Other Party you identify to invite them to
participate, and to share the general nature of your Application with them for that purpose. We will not
feature an Other Party unless that person separately agrees to participate. You cannot accept these
Terms for anyone else.
7.3 Protective orders and safety. You may not use the Show to locate, contact, confront, or appear with
anyone who is protected by a restraining order, protective order, stay-away order, or similar order
against you, or anyone who has clearly asked you not to contact them. Before you participate, you must
tell us if your situation involves any such order, a pending court case, a criminal matter, or any allegation
of violence or abuse. We may decline any Application for safety reasons.
7.4 Private information. Do not reveal, in your Application or on the Show, any other person’s home
address, financial account information, medical information, or other private details unless that person
has agreed. Never share intimate images of anyone.
8. If You Are Selected: Consent to Record and Appear
8.1 Consent to record. If we select you, you agree to appear on the Show and to be photographed,
filmed, recorded, and livestreamed, in audio and video, in person or remotely, during your Participation.
This includes pre-interviews, phone and video calls with our team, rehearsals, recording sessions, breaks
on set, and behind-the-scenes and promotional activities. All of these recordings, in any form, are the
“Recordings.”
8.2 No expectation of confidentiality. Cameras and microphones may be operating at any time while
you are at a production location or on a call with our team, including equipment you may not notice.
You agree that your communications during your Participation are not confidential communications.
This is your consent to recording for purposes of California Penal Code Sections 632, 632.7, and 637.2
and any similar law.
8.3 Production instructions. You agree to follow the reasonable instructions of our producers and crew,
including rules about safety, scheduling, wardrobe, and conduct at production locations.
8.4 Scheduling. We decide the time, place, format, and content of your Participation, and we may
reschedule or cancel any appearance at any time.
9. Rights in Your Name, Voice, and Likeness
9.1 Grant of rights. If you participate, you grant Company and its licensees, successors, and assigns the
irrevocable, perpetual, worldwide, royalty-free right, but not the obligation, to use the Recordings and
your Persona in and in connection with the Show and the advertising, promotion, publicity, and
marketing of the Show and of Company. “Persona” means your name (including any nickname you use
on the Show), voice, image, photograph, likeness, appearance, statements, social media handles, and
the biographical information you give us. This right includes reproducing, editing, publishing,
broadcasting, livestreaming, distributing, displaying, performing, translating, and licensing the
Recordings and your Persona, in whole or in part.
9.2 All media. This grant applies in all media, formats, and platforms now known or later developed,
including:
- all of our social media accounts and channels, such as Instagram, YouTube, TikTok, Facebook, X,
Threads, Telegram, WhatsApp, Snapchat, and LinkedIn, and any platforms that replace or add to
them;
- the Site and any other websites, newsletters, and apps we operate;
- podcasts and audio platforms;
- television, streaming, cable, satellite, and video-on-demand services; and
- live events, festivals, and screenings.
9.3 Promotion and sponsors. We may use your Persona to promote the Show and Company, including
in trailers, clips, thumbnails, posts, stories, reels, advertisements, and press materials. Episodes may
include sponsor messages, and appearing in an episode that includes them is not an endorsement by
you. We will not use your Persona to state or imply that you personally endorse a third-party product,
service, or sponsor without your separate written consent.
9.4 Consent under California law. This Section 9 is your prior written consent under California Civil Code
Section 3344, and under any similar right of publicity or privacy law, to the uses described in these
Terms.
9.5 Irrevocable once recorded. The rights in this Section 9 become irrevocable once any Recording of
you is made. They continue after your Participation ends and after any termination of these Terms.
10. Ownership of Recordings and Show Content
10.1 We own the Show. Company owns all rights, title, and interest, including all copyrights, in the
Show, the Recordings, and all content created from them.
10.2 Assignment. To the extent you have or acquire any rights in your contributions to the Show or the
Recordings, such as your statements and performance, you assign those rights to Company. If any
assignment is not effective, you grant Company an exclusive, irrevocable, perpetual, worldwide, royalty-
free, transferable, and sublicensable license to those rights. Nothing in these Terms makes your
contributions a “work made for hire” or makes you an employee of Company.
10.3 Moral rights. To the fullest extent permitted by law, you waive any “moral rights” or similar rights
in the Recordings and your contributions, including any right to approve how they are edited or used.
10.4 Sharing our posts. You may share, repost, and link to content we publish on our official channels
using each platform’s built-in sharing features. You may not download, re-upload, edit, or distribute the
Recordings, or post any unpublished footage, without our written permission.
11. Editing, Translation, and Artificial Intelligence
11.1 Editorial control. We have complete editorial control over the Show. We may edit, cut, condense,
rearrange, and combine the Recordings; add music, graphics, titles, and commentary; and use any
portion out of the order in which it was recorded. We may use as much or as little of your appearance as
we choose, or none of it.
11.2 How you may be portrayed. You understand that the Show may portray you in a way you do not
like or consider unflattering. It may also include commentary about you, your views, and your conflict by
the host, other participants, guests, and viewers. We are not required to show you any content or get
your approval before publishing it.
11.3 Translation and dubbing. We may translate your statements and add subtitles, captions,
transcripts, and dubbed audio in any language, including English and Hebrew. We may use technology,
including artificial intelligence tools, to create them, including dubbed audio in a voice that sounds like
yours. Any AI-dubbed version will be a good-faith translation of what you actually said, used only in the
Show and its promotion as described in Section 9.
11.4 No other digital replicas. Except for the translation and dubbing described in Section 11.3, we will
not use artificial intelligence or other technology to create a digital replica of your voice or likeness that
shows you saying or doing anything you did not actually say or do, unless you separately agree in
writing. Ordinary editing is not a digital replica, including cutting, color correction, audio cleanup, noise
removal, blurring, and reframing.
11.5 Blurring and anonymity. We may, but are not required to, blur, mask, alter, or omit the face, voice,
name, or other identifying details of any person, including you. If you have a safety concern about being
identified, tell us before you are recorded. We will consider your request in good faith, but we cannot
promise any particular protection unless we agree to it in writing.
12. Not Legal Mediation, Legal Advice, or Therapy
12.1 Entertainment, not a legal proceeding. The Show is an entertainment and discussion program.
Segments in which the host or others help participants discuss or resolve disagreements are produced
for broadcast. They are not a mediation within the meaning of California Evidence Code Section 1115, a
court-connected mediation, an arbitration, or any other legal proceeding.
12.2 No confidentiality. Nothing you say in your Application or during your Participation is protected by
mediation confidentiality or any privilege. Part Two governs how we handle your Application
information. To the extent any part of your Participation could be considered a mediation or mediation
consultation under California law, you expressly agree in writing, for purposes of California Evidence
Code Section 1122(a)(1) and any similar law, to the recording, broadcast, publication, and disclosure of
all communications and writings made in connection with your Participation. Company, on its own
behalf and on behalf of the host, also agrees to that disclosure.
12.3 What you say can be used. Anyone may see or hear what you say on the Show, and your
statements may be used as evidence in court or other proceedings. If you are involved in a legal dispute,
talk to your own lawyer before you participate.
12.4 On-air agreements are not binding. Any agreement, apology, promise, or resolution reached
between participants on the Show is not a legally binding contract, unless the participants separately
sign a written agreement that says it is binding. Company is not a party to, and is not responsible for
enforcing or carrying out, any agreement between participants.
12.5 No legal advice. The host, our team, and other participants are not acting as your attorney. Nothing
on the Show, or in any communication with us, is legal advice, and your Application and Participation do
not create an attorney-client relationship with anyone.
12.6 No therapy or other professional services. The Show is not counseling, therapy, medical care, or
financial, tax, immigration, or other professional advice, and our team does not provide those services. If
you are in crisis or thinking about harming yourself or someone else, call or text 988 (the 988 Suicide
and Crisis Lifeline) or call 911. Do not wait for the Show to address an urgent situation.
13. Your Promises to Us
By submitting an Application and participating, you represent, warrant, and agree that:
- everything in your Application and everything you tell us is true, accurate, and complete, and
you will promptly tell us if anything changes;
- you will not knowingly make false statements of fact about any person during your Participation;
- you have the full right and authority to accept these Terms, and doing so does not violate any
agreement you have with anyone else;
- you will tell us in advance, in writing, if anyone is paying you or giving you anything of value to
promote a business, product, political campaign, or cause during your Participation;
- you have told us about any pending lawsuit, criminal charge, investigation, restraining order, or
protective order involving your conflict or any other participant;
- you will tell us if you need an accommodation to participate safely; and
- you will comply with all applicable laws during your Participation.
14. Conduct, Safety, and Removal
14.1 Conduct rules. Strong disagreement is part of the Show; violence and threats are not. During your
Participation, you will not:
- touch, push, strike, or physically intimidate anyone;
- threaten anyone with violence, or bring a weapon to any production location;
- damage property;
- harass, stalk, or threaten anyone you meet through the Show, during or after production;
- use illegal drugs, or participate while impaired by alcohol or any drug; or
- encourage anyone else to do any of these things.
14.2 Removal. We may stop recording, end any segment, remove you from a set or call, or end your
Participation at any time if we believe your conduct is unsafe, unlawful, or violates these Terms. We may
contact law enforcement when we believe it is necessary.
14.3 Public reaction. Once your appearance is published, members of the public may comment on it,
share it, or contact you. We do not control what others say or do. We may moderate comments on our
own channels, but we are not responsible for anyone else’s comments or conduct.
15. Assumption of Risk
15.1 Risks of appearing. Appearing on a program about personal, family, cultural, and political
disagreements involves risks. These include emotional distress; arguments or confrontations with other
participants; disclosure of embarrassing or private facts; criticism, ridicule, or harassment by viewers,
online or in person; and effects on your relationships, reputation, employment, or business. Depending
on your circumstances, they may also include risks to your safety or to the safety of your relatives,
including relatives outside the United States.
15.2 Physical risks. Travel to and from production locations, and time on a set, involve ordinary risks of
injury and of loss or damage to property.
15.3 Voluntary participation. Your Participation is voluntary. To the fullest extent permitted by law, you
knowingly and freely assume all of these risks, except for risks caused by the gross negligence or willful
misconduct of a Released Party (defined in Section 16.1).
16. Release of Claims and Waiver of Civil Code Section 1542
16.1 Released Parties. “Released Parties” means Company; its members, managers, officers, employees,
contractors, producers, host, and crew; and its agents, licensees, distributors, sponsors, advertisers, the
platforms on which the Show appears, and its successors and assigns.
16.2 Release. In exchange for the opportunity to be considered for and to participate in the Show, which
you agree is good and valuable consideration, you release and forever discharge the Released Parties
from all claims, demands, damages, losses, liabilities, and causes of action of any kind, known or
unknown, arising out of or relating to your Application, your Participation, the Recordings, or the
production, editing, distribution, or promotion of the Show. This includes claims for:
- defamation, false light, invasion of privacy, and public disclosure of private facts;
- misappropriation of name or likeness and violation of the right of publicity;
- infringement of copyright, trademark, or other intellectual property;
- breach of confidence, breach of contract, and breach of implied contract, including claims that
we used an idea you submitted;
- intentional or negligent infliction of emotional distress; and
- negligence.
16.3 What is not released. This release does not apply to:
- claims arising from a Released Party’s fraud, gross negligence, willful misconduct, or violation of
law, to the extent California Civil Code Section 1668 or other law prohibits releasing them;
- any other claim that cannot be released as a matter of law, including rights under privacy laws
that cannot be waived by contract; or
- our obligations to you under these Terms.
16.4 Waiver of Civil Code Section 1542. You understand that this release covers claims you do not know
about or suspect exist today. You expressly waive the benefit of California Civil Code Section 1542, which
provides:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR
RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT
THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD
HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR
RELEASED PARTY.”
You also waive the benefit of any similar law of any other state or country. You may later discover facts
different from what you now know or believe, and this release will remain fully effective regardless.
16.5 Covenant not to sue. You agree not to file or help pursue any lawsuit, arbitration, or other claim
against a Released Party based on a released claim.
16.6 Third-party beneficiaries. The Released Parties are intended third-party beneficiaries of Sections 15
through 19 and may enforce them.
17. Indemnification
You agree to defend, indemnify, and hold harmless the Released Parties from all third-party claims, and
all resulting damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising
out of or relating to:
- your breach of these Terms;
- information or materials you submit that are false or that infringe or violate anyone’s rights;
- statements you make during your Participation that you knew, or reasonably should have
known, were false; or
- your negligent, unlawful, or intentionally harmful conduct during your Participation.
We may choose our own counsel and control the defense of any such claim, and you agree to
cooperate.
18. Limitation of Liability
18.1 Excluded damages. To the fullest extent permitted by law, the Released Parties will not be liable to
you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost
profits, lost opportunities, or harm to reputation, arising out of or relating to these Terms, your
Application, or your Participation.
18.2 Cap. To the fullest extent permitted by law, the Released Parties’ total liability to you for all claims
that are not released under Section 16 will not exceed one hundred U.S. dollars (US $100).
18.3 Exceptions. This Section 18 does not limit liability that cannot be limited under applicable law,
including liability for fraud, gross negligence, or willful misconduct.
19. Your Remedies
To the fullest extent permitted by law, if we breach these Terms or you have any claim that is not
released, your only remedy is money damages, if any. You waive any right to rescind these Terms or the
rights you have granted, and any right to seek an injunction or other equitable relief to stop or limit the
production, distribution, exhibition, or promotion of the Show or any Recording.
20. No Compensation; No Employment Relationship
20.1 No payment. Unless we agree otherwise in a written agreement signed by Company, you will not
receive any payment, fee, royalty, or other compensation for your Application, your Participation, the
Recordings, or our use of your Persona. The opportunity to participate is the full consideration for the
rights you grant.
20.2 Expenses. We will reimburse travel or other expenses only if we approve them in writing in
advance.
20.3 Independent status. You are participating as a volunteer member of the public. You are not our
employee, independent contractor, partner, joint venturer, or agent, and you are not entitled to any
employee benefits. If we ever agree to pay you, you are responsible for any taxes on that payment, and
we may require tax forms before paying.
21. Confidentiality of Production Information
21.1 Before release. Until we publish the relevant content, you agree not to disclose the outcome of
your segment, the identities of other participants, unaired content, production schedules, or other non-
public information about the Show that you learn through your Participation (“Production Information”).
You may share Production Information with your immediate family, your attorney, and your tax advisor,
if they agree to keep it confidential.
21.2 No recording on set. You may not record, photograph, or livestream at a production location, or
post any unaired footage, without our written permission.
21.3 After release. Once your episode is published, you may talk about your own experience on the
Show. You may not disclose unaired content or private information about other participants that you
learned through the Show.
21.4 Rights you keep. Nothing in these Terms prevents you from reporting possible violations of law to
any government agency or law enforcement, testifying truthfully in any legal proceeding, or discussing
or disclosing information about unlawful acts, harassment, discrimination, or sexual assault. Nothing in
these Terms limits any right that cannot be waived by contract, including rights protected by California
Civil Code Section 1670.11 and the federal Speak Out Act.
22. Withdrawing Your Application
22.1 Before recording. You may withdraw your Application at any time before you are recorded by
emailing us at benjaminbasire@pm.me. We will stop considering your Application and will handle your
information as described in Part Two.
22.2 After recording. Once any Recording of you is made, the rights you granted in Sections 8 through
11 are irrevocable, because we rely on them to produce and distribute the Show.
22.3 Safety requests. If you have a genuine safety concern about content we have published, contact us.
We will review your request in good faith and may, in our discretion, edit, restrict, or remove content.
We are not required to do so, and we cannot remove copies made by others.
23. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND COMPANY TO RESOLVE DISPUTES BY
BINDING INDIVIDUAL ARBITRATION, AND IT WAIVES THE RIGHT TO A JURY TRIAL AND TO
PARTICIPATE IN CLASS ACTIONS, UNLESS YOU OPT OUT UNDER SECTION 23.10.
23.1 Disputes covered. “Dispute” means any claim or controversy between you and Company or any
Released Party arising out of or relating to these Terms, your Application, your Participation, the
Recordings, or the Show, whether based in contract, tort, statute, or any other legal theory.
23.2 Step one: informal resolution. Before starting mediation or arbitration, the party with a Dispute
must send the other a written notice describing the Dispute and the relief requested. Send notices to us
at benjaminbasire@pm.me; we will send notices to the email address in your Application. Both parties
will try in good faith to resolve the Dispute within 30 days after the notice is received.
23.3 Step two: mediation. If the Dispute is not resolved within those 30 days, either party may request
mediation. The mediation will take place in Los Angeles County, California, or by videoconference,
before a mediator both parties accept. If the parties cannot agree on a mediator within 15 days, JAMS
will appoint one from its Los Angeles panel. Company will pay the mediator’s fees for one session of up
to four hours, and each party will pay its own attorneys’ fees. This dispute mediation is confidential
under California Evidence Code Sections 1115 through 1128, and Section 12 does not apply to it.
23.4 Step three: binding arbitration. Either party may start arbitration if the Dispute is not resolved
within 60 days after mediation is requested, if the other party declines to mediate, or if neither party
requests mediation within 30 days after the informal resolution period ends. The Dispute will then be
resolved by final and binding arbitration before a single neutral arbitrator, administered by JAMS under
its Streamlined Arbitration Rules and Procedures, or under its Comprehensive Arbitration Rules and
Procedures if JAMS determines the Streamlined Rules do not apply. If JAMS determines that its
Consumer Arbitration Minimum Standards apply, they govern. The JAMS rules are available at
jamsadr.com.
23.5 Place, privacy, and procedure. The arbitration will take place in Los Angeles County, California,
unless both parties agree otherwise. If you live more than 100 miles from Los Angeles, you may
participate by videoconference. Arbitration hearings are private and not open to the public, and the
arbitrator may issue orders to protect confidential or private information. The arbitrator will apply
California law and the Federal Arbitration Act, may award any individual relief a court could award, and
will issue a written decision explaining the essential findings. Judgment on the award may be entered in
any court with jurisdiction.
23.6 Fees. If you start arbitration, you will pay no more than the filing fee you would pay to file a
complaint in the Superior Court of California, County of Los Angeles. Company will pay all other JAMS
administrative fees and the arbitrator’s fees. If Company starts arbitration, Company will pay all JAMS
fees. Each party will pay its own attorneys’ fees and costs, unless the arbitrator awards them under
applicable law.
23.7 Who decides what. The arbitrator will decide all issues, including the scope and enforceability of
this Section 23, except that a court will decide any issue about the validity, scope, or enforceability of
Sections 23.8 and 23.9.
23.8 Individual claims only. You and Company may bring claims against each other only in an individual
capacity, and not as a plaintiff or class member in any purported class, collective, or representative
proceeding. The arbitrator may not consolidate the claims of more than one person or preside over any
class, collective, or representative proceeding. If this Section 23.8 is found unenforceable as to any
claim, that claim will be decided in court, not in arbitration.
23.9 Exceptions. Either party may:
- bring an individual claim in small claims court if it qualifies, and either party may require that a
claim within small claims jurisdiction be heard there instead of in arbitration;
- ask a court for provisional relief to preserve the status quo while arbitration is pending, as
allowed by California Code of Civil Procedure Section 1281.8; and
- pursue a claim for public injunctive relief in court, if that relief is available under applicable law.
Any such claim will be stayed until the individual claims are resolved in arbitration.
23.10 Your right to opt out. You may opt out of arbitration within 30 days after you first accept these
Terms. To opt out, email benjaminbasire@pm.me with the subject line “Arbitration Opt-Out” and
include your full name, the email address in your Application, and a statement that you opt out of
arbitration. If you opt out, Sections 23.2 and 23.3 still apply, and any Dispute will be decided by the state
or federal courts in Los Angeles County, California. Opting out does not affect any other part of these
Terms or your Application.
23.11 Jury trial waiver. BY AGREEING TO ARBITRATION, YOU AND COMPANY ARE EACH GIVING UP THE
RIGHT TO A JURY TRIAL AND TO A TRIAL BEFORE A JUDGE IN COURT, EXCEPT AS PROVIDED IN SECTIONS
23.8, 23.9, AND 23.10.
23.12 Deadlines paused. Any statute of limitations or other deadline for a Dispute is paused while the
parties complete Sections 23.2 and 23.3.
23.13 Governing law and venue. These Terms are governed by the laws of the State of California,
without regard to its conflict of laws rules, except that the Federal Arbitration Act governs this Section
23. For any matter not subject to arbitration, you and Company consent to the exclusive jurisdiction and
venue of the state and federal courts located in Los Angeles County, California.
24. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on the Site with a new
effective date and will apply to Applications submitted after that date. If you have already applied, we
will email you about any material change, and it will apply to you only if you agree to it or continue in
the casting process after receiving that notice. No change will apply to Recordings made before the
change, or to any Dispute that arose before the change, unless you agree in writing.
25. General Terms
25.1 Entire agreement. These Terms, including the Privacy Policy, and any additional documents you
sign with us are the entire agreement between you and Company about their subject matter.
25.2 Severability. If any provision of these Terms is found invalid or unenforceable, it will be enforced to
the maximum extent permitted, and the remaining provisions will stay in full effect, except as Section
23.8 provides.
25.3 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
25.4 Assignment. We may assign or transfer these Terms and any rights under them, including to a
successor, distributor, or licensee, without notice to you. You may not assign your rights or obligations.
25.5 Survival. Sections 5 and 7 through 26 survive the end of your Participation and any termination of
these Terms.
25.6 Notices. We may send you notices by email to the address in your Application or by posting them
on the Site. You may send notices to us at benjaminbasire@pm.me.
25.7 Language. These Terms are written in English. If we provide a translation, the English version
controls if there is any conflict.
25.8 Interpretation. Headings are for convenience only. “Including” means “including without
limitation.”
